RESPONSE:
In response to the Staffs comment, the relevant statement has been revised as follows:
. . . discretionary voting authority with respect to any matter that may properly come before the annual meeting about which we did not have notice of such matter by the date which is at least 45 days before the anniversary date on which we first sent our proxy materials for the prior years annual meeting of stockholders or by January 8, 2016, which is the date specified by the advance notice provisions set forth in our bylaws, and they intend to vote on any such other matter in accordance with their best judgment.

In connection with responding to the Staffs comment, the Company acknowledges that:
| the Company is responsible for the adequacy and accuracy of the disclosure in the filing; |
